"MetroPCS Communications Inc. is exploring a purchase of assets of mobile-communications business TerreStar Networks Inc. out of bankruptcy court, said people familiar with the matter.

No offer has been made and a deal may never materialize, the people cautioned.

But they said MetroPCS is among parties that are considering a potential deal for TerreStar, which could attract a price greater than $1 billion.

TerreStar's most attractive assets are government licenses to use certain pieces of radio spectrum, the limited pockets of airwaves available for high-speed data, or so-called 4G, networks.

MetroPCS, the fifth-largest U.S. wireless carrier by subscribers, has been on the hunt for spectrum that will help it become a national operator.

Currently, the company must contract out to other carriers for "roaming" agreements in areas where it lacks its own network.

TerreStar, based in Reston, Va., owes roughly $1 billion to senior secured bondholders led by Charles Ergen's EchoStar Corp., the satellite-media company that built set-top boxes for Dish Network. Under TerreStar's current bankruptcy reorganization plan, the bondholders would convert their debt to equity and own 97% of the restructured company.

MetroPCS - LightSquared Inc. - MetroPCS Communications Inc. (PCS)

"MetroPCS is willing to consider partnering with various network operators to bring it more wireless capacity, including billionaire Philip Falcone's LightSquared Inc."

MetroPCS Communications Inc. (PCS), the pay-as-you-go mobile-phone carrier, said it is considering all options in a search for additional wireless spectrum that would help it expand more rapidly in the U.S.

“We’re looking at everything out there” on spectrum, Chief Financial Officer J. Braxton Carter said on a conference call today at the Morgan Stanley Technology, Media & Telecom Conference in San Francisco.

The Dallas-based carrier separately today said it was seeking to expand its $1.6 billion credit agreement to include a new $1.5 billion term loan. Carter said some of those funds could help the company buy capacity for its network.

MetroPCS is willing to consider partnering with various network operators to bring it more wireless capacity, including billionaire Philip Fae’s LightSquarlconed Inc., said Carter. Spectrum describes the airwaves that carry wireless signals.

MetroPCS rose 59 cents, or 4.2 percent, to $14.79 at 1:14 p.m. in New York Stock Exchange composite trading. The shares had gained 12 percent this year before today.

LightSquared confirms US$586M loan deal

US wholesale LTE operator LightSquared has secured US$586 million of funding in the form of a loan from UBS AG and JP Morgan. The company says it will use the finance for “general corporate purposes” as it attempts to deploy the country’s first wholesale-only hybrid satellite/LTE network. In a statement, Sanjiv Ahuja, CEO, said:

“Our investors share our belief that now is the time for a wholesale model to succeed, as we will bring desperately-needed 4G capacity to businesses, consumers, government and public safety users through a wide variety of retail partners which will sell services based on our integrated terrestrial and satellite network. We are deploying the most advanced network while offering service at a lower price, because as a pure wholesaler, we will not have retail overhead.” In the last seven months LightSquared has raised more than US$2 billion in debt and equity.

The company plans to go commercial in the third quarter of 2011 and is using Nokia Siemens Networks as its infrastructure vendor. It is reported to have signed agreements with its first five customers – “two carriers, a national retailer, a device manufacturer and a website” – although this has yet to be confirmed by the parties involved.

US LTE networks have already been launched (on a retail basis) by MetroPCS and Verizon Wireless, with AT&T due to switch on next year."
